Welcome to UK.Gisou.com. The terms contained herein (the “Terms of Use”) concern access to and use of the Site. By using the Site, the User fully and completely accepts the Terms of Use. It is important to read these Terms of Use together with our Privacy Policy and Terms and Conditions.

1. Definitions

NM Beauty Industries B.V.: a private company (‘besloten vennootschap’) established under Dutch law, based in Amsterdam (The Netherlands) and registered with the Chamber of Commerce under file number 63969769, trading under the trade name “Gisou”.

Site: the website UK.Gisou.com and all of its sub-domains.

User, You: any individual visitor to the Site or recipient of specific content such as ads, e-mail or newsletters in relation to Gisou.

 3. Access to and use of the Site

You may access and use the Site only as permitted by these Terms of Use. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these Terms of Use and that they comply with them. There is currently no charge to access and/or use the Site. However, you are responsible for obtaining and configuring (at your own cost) all necessary devices, computer programs, IT, platforms and telecommunications services required to access and/or use the Site.

Gisou may update, suspend, withdraw or restrict the availability of all or any part of the Site for business and operational reasons at any time without notice or liability to you.

4. Account

If you choose, or you are provided with, a customer account, password or any other piece of information as part of our security procedures, you must treat such information as confidential and must not disclose it to any third party. Gisou has the right to disable any customer account or password, whether chosen by you or allocated by Gisou, at any time, if in Gisou's reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.

If you know or suspect that anyone other than you knows your customer account or password, you must promptly notify Gisou using the contact details set out at Section 2 above.

5. Prohibited uses

You may only use the Site and its content for lawful purposes.

You may not use the Site and/or any of its content:

(a)   In any way that breaches any applicable local, national or international law or regulation.

(b)   In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

(c)   To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

(d)   To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

You also agree note to:

(a)   Reproduce, duplicate, copy or re-sell any part of the Site and/or any of its content in contravention of the provisions these Terms of Use.

(b)   Reverse engineer, decompile, disassemble or otherwise attempt to obtain the Site’s source code, other than as permitted by applicable law.

(c)   Tamper, hack, modify, overload, or otherwise corrupt or circumvent the security and/or functionality of the Site or infect it with any malicious code.

(d)   Otherwise access without authority, interfere with, damage or disrupt any equipment or network on which the Site is stored or any software used in the provision of the Site.

6. Limitations on Gisou's liability 

Gisou does not exclude or limit in any way its liability to you where it would be unlawful to do so. This includes liability for death or personal injury resulting from negligence or the negligence of Gisou's employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

Gisou does not guarantee that the Site will always be available, be uninterrupted, secure or free from bugs or viruses, nor that the Site or its content will be free from errors or omissions. Although Gisou makes reasonable efforts to update the information on the Site, Gisou makes no promises and provide no assurances that the content on the Site is accurate, complete or up to date.

The information on this Site is offered on an ‘as is’ basis and is provided for general information only. This means that Gisou does not provide any guarantees regarding the accuracy or completeness of any information on the Site. You should obtain specialist advice before taking or refraining from, any action on the basis of such information.

Please note that the Site and its content are for domestic and private use only. You agree not to use the Site or its content for any commercial or business purposes, and under no circumstances will Gisou or its subsidiaries or affiliates be liable for any loss of profits or savings or anticipated profits or savings, loss of opportunity, loss of reputation, goodwill or business or any economic losses arising from access to or use of the Site even if Gisou was advised in advance of the possibility of such loss.

The Site may feature links to other websites. If these links refer to web pages outside of the Gisou domain, such web pages are not administered or endorsed by Gisou. Gisou has no control over the contents of those third party sites and will not be responsible for the contents of such web pages.

7. Use of your information

By communicating with Gisou through the Site, or uploading any information and/or materials to the Site, the User authorizes Gisou to use this information for the purpose for which the User has made this information available to Gisou. For example, if a User subscribes for the newsletter, the User accepts that it may receive correspondence from Gisou. Any personal information will be treated and processed securely and strictly in accordance with applicable laws and regulations. Please refer to the Gisou Privacy Policy for details regarding how Gisou handles your personal information.

8. Intellectual Property

All intellectual and other property rights, such as text, graphics, images, icons and trademarks and trade names, featured in the information and materials on the Site are owned by Gisou and/or its licensors. Access to this information does not entitle the User to any rights. These materials may not be copied, distributed or used for any other purpose without the express written consent of Gisou, except as otherwise allowed by law. You may not use our trademarks in connection with any product or service in any way that is likely to cause confusion.

The Site and its content are licensed to you in accordance with these Terms of Use. Subject to your continued compliance with these Terms of Use, we hereby grant to you a non-exclusive, non-transferable, non-sublicensable, personal, revocable, limited licence to access and use the content for solely viewing within the Site.

You are fully responsible for the truthfulness, accuracy and completeness of the information you upload, share with or send to the Site.

Gisou reserves the right to modify these Terms of Use from time to time to reflect changes to the Site or changes in the law but, should this happen, they will be posted on the Site. Any such changes will be applicable from the date they are published. Your continued access and use of the Site after making such modifications and posting the updates will constitute your unconditional acceptance of such modifications.

9. General

These Terms of Use and any dispute or claim arising out of or in connection with them (including any non-contractual disputes or claims) shall be exclusively governed by and construed in accordance with English  law and will be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

In the event that any of the provisions contained in these Terms of Use will be deemed invalid or unenforceable, then the remaining provisions shall be construed as if such invalid provisions were not contained herein; and such invalid or unenforceable provisions will then be deemed to have been replaced by a provision which as closely as possible meets the intention of Gisou when inserting the original provision.

These Terms of use are not intended to be for the benefit of, and will not be exercisable by, any person who is not a party to them.

Gisou shall be entitled, without your consent, to transfer its rights and obligations under these Terms of Use to any of its affiliates or to any entity or person that acquires Gisou's business. Any such transfer of rights and obligation will have effect upon notice being given to you (including notices given through the Site).

If Gisou decides not to exercise or enforce any right that it has against you at a particular time, then this does not prevent Gisou from later deciding to exercise or enforce that right.
